Regulation D Rule 506 offerings are the most recognized rule. It allows issuers (business owners who issue stock shares or promissory notes to raise private capital) to raise any amount of money. Issuers can raise capital from accredited investors and up to 35 non-accredited investors. Rule 506 also allows an audited balance sheet rather than a fully audited financial statement.
